PLEASE READ THESE TERMS CAREFULLY BEFORE USING SKYOGEN.COM (“Site”). BY ACCESSING OR USING ANY PART OF THE SITE, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS OF SERVICE (“Terms”). IF YOU DO NOT AGREE, DO NOT USE THE SITE.

1. Acceptance of Terms
   SkyogenX Media (“Skyogen,” “we,” “us,” or “our”) provides free online digital tools and related content. These Terms govern all access to and use of the Site, including any updates, enhancements, or new features.
2. Eligibility & Accounts
   • You must be at least 13 years old (16 in the EEA) to use the Site.
   • Account creation is optional. If you choose to create an account, you must provide accurate information and keep credentials secure. You are responsible for all activity under your account.
3. License to Use the Service
   • Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access the Site and its tools for personal or internal business purposes.

   • By submitting User Content, you grant Skyogen and its users a worldwide, royalty-free, perpetual, irrevocable license to use, host, store, reproduce, adapt, and distribute that content for the purpose of operating and improving the Site.
   • You represent that you have all necessary rights to submit the content and that it does not violate any law or third-party rights.
5. Prohibited Conduct
   You agree NOT to:
   a. Upload or transmit viruses, malware, or any harmful code.
   b. Engage in scraping, data-mining, or automated collection of content that impairs service performance.
   c. Circumvent security features, rate limits, or access controls.
   d. Impersonate any person or entity, or misrepresent your affiliation.
   e. Use the Site for any unlawful purpose or in violation of applicable regulations.
6. Third-Party Links & Tools
   The Site may contain links to third-party websites or integrations. We do not endorse and are not responsible for any third-party content, products, or services.
7. Intellectual Property
   • All trademarks, logos, and content on the Site (other than User Content) are owned by or licensed to Skyogen and protected by intellectual-property laws.
   • You may not use our trademarks without prior written permission.
8. Disclaimer of Warranties
   THE SITE AND ALL TOOLS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES.
9. Limitation of Liability
   TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKYOGEN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM OR RELATED TO THE USE OR INABILITY TO USE THE SITE.
10. Indemnification
    You agree to indemnify and hold harmless Skyogen, its affiliates, and personnel from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your use of the Site or violation of these Terms.
11. Termination
    We may suspend or terminate your access at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful. Upon termination, Sections 7-11 and 13-15 survive.
12. Modifications to the Site & Terms
    • We reserve the right to modify or discontinue any part of the Site at any time.
    • We may revise these Terms; the latest version will always be posted at https://skyogen.com/terms. Continued use after changes constitutes acceptance.
13. Governing Law & Jurisdiction
    These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles. You consent to exclusive jurisdiction in the state or federal courts located in San Francisco County, California.
14. Severability
    If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
